MBH Mortgage Bank Plc.'s guidelines on disclosure

⁣1. MBH Mortgage Bank Plc. (“MBH Mortgage Bank” or the “Company”) is a publicly traded joint-stock company, a member of the MBH Bank Group managed by MBH Bank Plc. The ordinary shares of MBH Mortgage Bank are listed in the Premium share category of the Budapest Stock Exchange, and the mortgage bonds issued by the Company are also listed securities.

2. The primary goal of MBH Mortgage Bank is to provide up-to-date, reliable and comprehensive information to both investors and analysts following MBH Mortgage Bank. Fast and non-discriminatory information is required regarding the operation, strategy and results of MBH Mortgage Bank.

3. MBH Mortgage Bank considers the public as a combination of the investor and analyst community, as well as supervisory and interest representation bodies and the media.

4. In the disclosure process the MBH Mortgage Bank provides market participants with all information that may directly or indirectly affect the value or yield of MBH Mortgage Bank's shares and mortgage bonds, or the reputation of the Bank as an issuer. These include in particular:
(a) the company’s objectives;
(b) the results of the company’s activities and management;
(c) the principles relating to the election and appointment of the company’s board and management members; and the principles of remuneration and compensation of board and management members (in accordance with the relevant European Union regulations applicable to credit institutions and the relevant recommendations of the Hungarian National Bank);
(d) the risk factors affecting the company’s operations and management, and the company’s risk management principles;
(e) material information relating to employees and other stakeholders;
(f) corporate governance practices, the structure of the corporate governance system;
(g) ownership structure.

5. It implements all of these commitments as a participant in the European Union’s capital market, in the spirit of the Transparency Directive.

6. The disclosure principle of MBH Mortgage Bank is to inform investors and stakeholders with the content and manner prescribed in Act CXX of 2001 on the capital market, Decree 24/2008. (VIII.15.) PM on the detailed rules of the information obligation related to publicly traded securities, Regulation EU 596/2014 of the European Parliament and of the Council of 16 April 2014, the General Business Rules of the Budapest Stock Exchange, and the Corporate Governance Recommendations of the Budapest Stock Exchange.

7. MBH Mortgage Bank has internal regulations on data reporting obligations, which comprehensively regulates the implementation of the tasks related to the company arising from the legal obligations related to disclosure. The rules contain in detail the cases of disclosure required by law, that may occur at the Company as an issuer.

8. The Company assesses the effectiveness of its disclosure processes once a year.

9. MBH Mortgage Bank uses the following publication pages simultaneously in the mandatory disclosure procedure in accordance with the law and stock exchange regulations: (a) the website of the Budapest Stock Exchange (b) the information storage system operated by the MNB (c) MBH Mortgage Bank's own website.

10. MBH Mortgage Bank publishes the same regulated information on the Budapest Stock Exchange and on its own website, and forwards it to the information storage system and the media.

11. All announcements, financial reports and other information of interest to investors published by MBH Mortgage Bank are available on the website operated by MBH Mortgage Bank, under the 'For Investors' menu item, in the 'Announcements' and 'Financial Data' submenus.

MBH Mortgage Bank provides access to information on its website for 5 years (10 years for financial reports) from the date of publication.
